These Terms of Service (“Terms”) govern your access to and use of RuntimeAds (the “Service”), operated by Cognitobit Innovations Private Limited (“RuntimeAds”, “we”, “us”), including the RuntimeAds editor extension, web application, and APIs. By creating an account or installing the extension, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

RuntimeAds is an AI Attention Network. Builders install an extension that displays sponsor messages during idle AI-agent time inside their editor and earn a share of the revenue from verified ad impressions. Advertisers fund campaigns that purchase that inventory.

2. Accounts & eligibility

You must be at least 18 years old and use the Service only where it is lawful to do so.
You must sign in with a valid Google account and provide accurate information.
If you install the extension on a device or environment you do not own, you confirm you have the necessary authorization (e.g. from your employer) to do so.
You are responsible for activity under your account and for keeping access secure.
One person or entity per account; you may not share or transfer accounts.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe are engaged in fraud or abuse.

3. Builder earnings & payouts

Earnings accrue only from verified impressions, as determined by our server-side measurement and corroboration.
Earnings are subject to published rate caps and to anti-fraud review. Activity we identify as invalid, automated, or self-dealing is not eligible for payout.
Payouts are processed in batches and require identity verification by our payment provider, a minimum payout balance, and a cooling period before accrued earnings become eligible.
You are responsible for any taxes on your earnings and for providing accurate tax information where we are required to collect it; we may withhold payouts until it is provided.
Payouts are reviewed and issued manually. We may withhold or reverse amounts associated with fraud, error, or chargeback. Earnings below the minimum payout balance may be forfeited if your account is terminated.

4. Advertisers

Advertiser wallets are funded by RuntimeAds administrators during the current launch phase; campaign spend is drawn from your funded balance.
You are responsible for the legality and accuracy of campaign content you submit.
We may reject or remove campaigns that are unlawful, deceptive, or that violate the acceptable-use rules below.

5. Acceptable use

You agree not to:

Generate artificial, automated, or otherwise invalid impressions or clicks, or manipulate measurement in any way.
Tamper with, reverse engineer, or circumvent the extension’s integrity checks.
Operate multiple accounts to evade limits, caps, or enforcement.
Use the Service to distribute malware or unlawful, infringing, or harmful content.

6. Third-party software & platform risk

The RuntimeAds extension works by integrating with, and modifying the rendering surfaces of, third-party developer tools (such as AI coding assistants and editors) to display sponsored content during their idle states. You acknowledge and accept this. RuntimeAds is an independent service and is not affiliated with, endorsed by, or sponsored by Anthropic, Microsoft, OpenAI, or any other tool vendor. Those vendors’ software may change at any time and may, under their own terms, restrict or penalize such integrations; you assume the risk that a third-party platform limits, suspends, or disables your use of their software in connection with the Service.

7. Intellectual property

RuntimeAds and its software, trademarks, and content are owned by RuntimeAds or its licensors. These Terms grant you a limited, revocable, non-exclusive license to use the Service; no other rights are granted.

8. Disclaimers & limitation of liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, RuntimeAds is not liable for indirect, incidental, or consequential damages, and our aggregate liability is limited to the amounts paid or payable to or by you through the Service in the preceding three months.

9. Termination

You may stop using the Service and uninstall the extension at any time. We may suspend or terminate access for violations of these Terms. Earned but unpaid amounts that are eligible and not subject to fraud review remain payable after termination.

10. Changes

We may update these Terms. Material changes will be reflected by the “Last updated” date above, and continued use after changes constitutes acceptance.
